Job Summary Reporting to the Manager of The Investment Administration Office (“IAO”) in the Controllers & Tax Services Department, the Assistant Vice President (“AVP”) is the Investment Administration Officer for the IAO. This position leverages complex business knowledge and regulatory requirements for the execution and delivery of the Bank’s regulatory reporting obligations to its U.S. Regulators in connection with the FR Y-6, FR Y-7, FR Y-10, Secretary of State filings for multiple states, Form 13H, and BEA reports. Responsibilities Performs research, analysis, monitors, implements, investigates, remediates and reports on corporate governance matters related to organizational structure reporting of legal entities and their investments. Identify ongoing process improvements, operational gaps, and provide potential remediation steps. Manage the database of investments in legal entities, review and track entities submitted, generate reports, and carry out certifications. Represent the company in handling the state registration filings in Delaware and other states within the U.S. for its subsidiaries, coordinates with all stakeholders as needed, and handles the legal fee payment cycle. Functions as a liaison to internal departments and can aid in surfacing gaps between written procedures and staff execution and reconciling conflicting interests to ensure compliance with internal procedures and regulatory agencies. Demonstrated success in working on multiple high-priority projects concurrently while meeting critical deadlines and maintaining confidentiality and composure. Demonstrate initiative in ad hoc projects and help develop and implement corporate wide or business unit governance initiatives. Prepare organization structure regulatory reports Minimum of 5 years in the financial services industry, Degree in business, finance, accounting or related studies. Candidates must possess superior analytical skills with demonstrated problem solving experience required for handling large volume of work. Excellent written and verbal communication skills along with outstanding organizational skills, while maintaining flexibility and efficiency in a fast-paced team-oriented environment. Financial analysis experience is beneficial, but not required. Candidate must have advanced technical computer prowess including excellent word processing, redlining, spreadsheet, and database skills. Strong Microsoft Outlook, Word, Excel, Access, and PowerPoint skills are essential. Additional Knowledge, Skills &Abilities Experience in developing, implementing and maintaining policies, procedures and controls is desired. Possesses familiarity with the Bank Holding Company Act, Regulation Y, Regulation YY, Regulation K, Regulation O and Regulation W matters. Ability to function at a high level across Bank units, problem-solve and escalate issues as necessary. Ability to work independently with little need for close supervision. Familiarity with Secretary of State Filings is a plus. Background and ability to assist the Office of the Corporate Secretary with Board of Director packages, director and officer questionnaires, regulatory filings, corporate governance projects, and other transition and integration team projects is a plus.
